PREAMBLE

In these Terms, PROJECT RC LIMITED may be referred to as “the Company” or “the Seller”.

Article 1: Identity of the Professional Seller

The professional seller is PROJECT RC LIMITED, owner and publisher of the website https://moustiquout.com/ on which all the goods that may be the subject of these GTCS are presented.

PROJECT RC LIMITED is a private company limited by shares incorporated under Irish law with a share capital of 100 euros, registered with the Companies Registration Office of Ireland under number 700020, whose registered office is at Pod 2, The Old Station House, 15A Main Street, Blackrock, Dublin, A94 T8P8, Ireland; identified in France under SIREN number 104 249 941; establishment in France: 16 chemin des Croix, 77450 Condé-Sainte-Libiaire; not yet registered with the French Trade and Companies Register (registre du commerce et des sociétés).

Finally, as it is subject to VAT, the Company holds intra-Community VAT number FR10104249941

The business of PROJECT RC LIMITED is the sale of anti-mosquito solutions offered through dropshipping, which may be improved on its own initiative.

As the Company's business is aimed at the French public, these General Terms and Conditions of Sale (GTCS) are offered in French, English, German and Dutch.

These Terms are governed by Article 1582 et seq. of the French Civil Code. Any change in the applicable law will, de facto, result in an amendment of the GTCS.

The version applicable to the performance of the GTCS shall be the one in force on the day they are signed. These GTCS will systematically be sent to customers by email, a durable medium, which also contains an order confirmation and the Order Form.

Article 2: Preliminary declarations

2.1 Capacity of the parties to contract

The Customer, a natural person, declares that they are at least eighteen (18) years old and have full legal capacity within the meaning of Article 1145 of the French Civil Code.

PROJECT RC LIMITED, a legal entity, or any Customer that is a legal entity, declares that its status complies with the laws and regulations applicable to it.

2.2 Non-transferability of the GTCS

The Parties may not assign their rights and obligations arising from these Terms without the prior written consent of the other Party.

These GTCS are concluded intuitu personae, since the Company may refuse a sale on the grounds that the Customer is responsible for a previous breach of their obligations and/or a payment incident.

Article 3: Purpose of the GTCS

These Terms may only relate to one or more of the goods offered for sale by the Company on the website https://moustiquout.com/.

Article 4: Refusal of an order

As these GTCS were formed and concluded intuitu personae, that is, in consideration of the person, refusal of an order by the Seller will only be permitted if it is based on a legitimate reason relating solely to the person of the Customer.

Accordingly, the Seller may refuse an order on the grounds that the Customer is responsible for a previous breach of their obligations and/or a payment incident.

Article 5: Price

The price of each Good is shown on the website https://moustiquout.com/, in euros and inclusive of all taxes.

The Seller may apply offers, promotional services or sales, limited in time, to the Goods.

The sale will therefore be concluded at the price shown on the website on the date the Order is placed.

This price does not include any delivery charges that may apply, which may range from €4.86 to €8.99.

Free delivery campaigns are occasionally offered on a limited basis.

Article 6: Payment terms

The sale will be complete as soon as the Customer has fulfilled their payment obligation.

Payment will be made on the Seller's website, in particular by bank card (CB, Visa, Mastercard, American Express), PayPal, Apple Pay, Google Pay, Shop Pay, Klarna or iDEAL depending on the country of delivery.

Payment may only be made in a single instalment.

Every transaction made on the site is 100% secure. Thanks to the SSL encryption system, your personal data and means of payment are protected. In addition, you may rectify and delete your personal data at any time.

The Company accepts the main credit cards: CB, VISA, MASTERCARD, AMERICAN EXPRESS.

Article 7: Withdrawal period

7.1 Withdrawal period

In accordance with Article L.221-18 of the French Consumer Code and the annex to Article R.221-3 of the French Consumer Code, the Customer has a withdrawal period of fourteen (14) days after the day on which the Customer, or a third party other than the carrier designated by the Customer, takes physical possession of the good specified in the Order Form (sales contract) or of the last good (contract relating to several goods ordered by the consumer in a single order where those goods are delivered separately).

7.2 How to exercise the right of withdrawal

The Customer may withdraw from this contract without giving any reason.

To exercise the right of withdrawal, you must notify your decision to withdraw from this contract by an unequivocal statement using one of the following means of communication:

By email: contact@moustiquout.com;

By post to the following postal address:

PROJECT RC LIMITED, 16 chemin des Croix, 77450 Condé-Sainte-Libiaire, France.

Where the withdrawal period expires on a Saturday, a Sunday or a public holiday, the withdrawal period is extended until the end of the next working day.

To exercise the right of withdrawal, the Customer may use the withdrawal form annexed hereto (Annex).

7.3 Effects of withdrawal

In accordance with the annex to Article R.221-3 of the French Consumer Code, if you withdraw from this contract, the Company will reimburse all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice, where applicable, of a type of delivery other than the least expensive type of standard delivery offered by the Company), without undue delay and in any event not later than fourteen days from the day on which the Company is informed of your decision to withdraw from this contract.

The Company will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise.

In any event, you will not incur any fees as a result of such reimbursement.

The Company may withhold reimbursement until the Company has received the good back or you have supplied evidence of having sent back the good, whichever is the earliest.

You must send back the good to the postal address of PROJECT RC LIMITED without undue delay and in any event not later than fourteen (14) days from the day on which you communicate your withdrawal from this contract to the Company. The deadline is met if you send back the good before the period of fourteen (14) days has expired.

You will have to bear the direct cost of returning the good.

Products made to measure and customised at the Customer's request are not taken back. You are only liable for any diminished value of the good resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the good.

Article 8: Delivery time

The Order will be delivered within 9 to 12 days of receipt, by email, of the Order confirmation. For Products made to measure, this period runs from their dispatch, which takes place within 9 to 14 working days after the Order confirmation.

Any event that is external, unforeseeable and irresistible for the Seller, and any event that delays delivery of the parcel, shall be considered force majeure.

As a rule, the Seller is responsible for the parcel until it is actually delivered to the Customer. However, this responsibility is transferred to the carrier in charge of delivering the parcel as follows:

La Poste (Article 9.1 of La Poste's general terms and conditions of sale): A postal item is considered lost when it has not been delivered to its addressee within forty days of the date on which the item was taken over.

Colis Privé (Article 15.2.1 of Colis Privé's general terms and conditions of sale): The following are considered lost parcels:

For home delivery, all Parcels taken over by Colis Privé Store at Drop-off Relay points, declared not received by the Recipients, and for which Colis Privé Store cannot provide proof of delivery.

For Relay point delivery, all Parcels taken over by Colis Privé Store at Drop-off Relay points that could not be handed over to the Recipients (excluding Parcels refused or not collected by the Recipients).

The Seller may also use other carriers and will be liable to the extent of the contractual provisions of the general terms and conditions of sale binding them.

In practice, if the parcel has not been delivered after 2 months, the Company considers the parcel to be lost and refunds the Customer or has another parcel sent at its own expense.

If the parcel is marked as delivered in the delivery tracking but the Customer states that they have not received it, the Customer must sign a sworn statement of non-receipt. The Customer may then choose between a refund or the dispatch of a second parcel at the Company's expense.

Article 9: Amendment of the terms or obligations of the GTCS at the Customer's initiative

If these Terms are amended at the Customer's initiative, the Company must be notified in writing within twelve (12) hours of the purchase.

If the amendment affects essential elements of the GTCS, the Company may refuse it.

If the amendment makes the performance of its obligations technically impossible or excessively costly for the Seller, the Company may refuse it.

The Seller may not initiate an amendment of the GTCS.

Article 10: Force majeure

Neither party may be held liable for a delay or failure in the performance of its contractual obligations if that delay or failure results from an unforeseeable, irresistible and external event beyond its control, in accordance with Article 1218 of the French Civil Code. Such event must be one that could not reasonably have been foreseen when the contract was concluded and whose effects cannot be avoided by appropriate measures.

The party affected by such a case of force majeure undertakes to inform the other party as soon as possible, by registered letter with acknowledgement of receipt, specifying the nature of the event and its impact on the performance of the contractual obligations.

In the event of force majeure, performance of the obligations under the contract will be suspended for the entire duration of the event preventing their performance. However, if the situation continues beyond a period of thirty (30) days, the parties must meet to examine the possibilities of adapting or amending the contract.

Failing agreement between the parties within thirty (30) days of that consultation, and if the case of force majeure continues, either party may terminate the contract automatically, without any compensation being due, by written notice sent to the other party by registered letter with acknowledgement of receipt.

Furthermore, if, as soon as the case of force majeure occurs, it is clear that the delay or impediment makes it impossible to continue the contract, the contract will be terminated automatically. The parties will then be released from their obligations in accordance with Articles 1351 and 1351-1 of the French Civil Code.

Article 11: Liability

11.1 Liability of the Company

The Company is bound by an obligation of result with regard to delivery of the Order.

It is also bound by the legal guarantees (Articles L.217-4 et seq. of the French Consumer Code and Articles 1641 et seq. of the French Civil Code) and by liability as the party first placing the product on the market (Articles L.411-1 and L.411-2 of the French Consumer Code).

11.2 Liability of the Customer

The Customer undertakes to act in good faith when providing the necessary documents and information.

11.3 Liability of the Parties

The Parties undertake to comply scrupulously with their legal obligations and with the obligations arising under these Terms.

Any breach of legal or contractual obligations will require the Party responsible to make good the resulting damage.

The consumer has two years from delivery of the good to obtain the implementation of the legal guarantee of conformity if a lack of conformity appears. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it appeared.

The legal guarantee of conformity entitles the consumer to have the good repaired or replaced within thirty days of their request, free of charge and without major inconvenience to them.

If the good is repaired under the legal guarantee of conformity, the consumer benefits from a six-month extension of the initial guarantee.

If the consumer requests repair of the good but the seller imposes replacement, the legal guarantee of conformity is renewed for a period of two years from the date of replacement of the good.

The consumer may obtain a reduction in the purchase price while keeping the good, or terminate the contract and obtain a full refund in return for giving back the good, if:

1° The trader refuses to repair or replace the good;

2° The repair or replacement of the good takes place after a period of thirty days;

3° The repair or replacement of the good causes a major inconvenience to the consumer, in particular where the consumer definitively bears the costs of taking back or removing the non-conforming good, or bears the costs of installing the repaired or replacement good;

4° The lack of conformity of the good persists despite the seller's unsuccessful attempt to bring it into conformity.

The consumer is also entitled to a reduction in the price of the good or to termination of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination of the contract. The consumer is then not required to request repair or replacement of the good beforehand.

The consumer is not entitled to cancellation of the sale if the lack of conformity is minor.

Any period during which the good is out of use for repair or replacement suspends the remaining guarantee period until the restored good is delivered.

The rights mentioned above result from the application of Articles L. 217-1 to L. 217-32 of the French Consumer Code.

A seller who in bad faith obstructs the implementation of the legal guarantee of conformity is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual turnover (Article L. 241-5 of the French Consumer Code).

The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code, for a period of two years from discovery of the defect. This guarantee entitles the consumer to a price reduction if the good is kept or to a full refund in return for giving back the good.

Article 12: Guarantees

12.1 Legal guarantee of conformity (Articles L.217-4 to L.217-14 of the French Consumer Code)

12.1.1 Scope of the guarantee

Upon delivery of the good – that is, when the consumer takes physical possession of the good – the seller must guarantee to the consumer that the good delivered complies with the contractual provisions and is fit for the use normally expected of a similar good (Articles L.217-4 and L.217-5).

The lack of conformity covered by this guarantee is that which existed on the day of delivery of the goods that are the subject of the Contract.

Any lack of conformity that appears within 24 months of delivery is presumed to have existed on the day the Contract was concluded, unless proven otherwise (Article L.217-7).

This guarantee does not cover defects that the buyer knew of or could not have been unaware of when entering into the contract (Article L.217-8).

12.1.2 Exercise of the guarantee by the consumer (buyer)

In the event of a lack of conformity, the consumer chooses between repair and replacement of the good (Article L.217-9).

If the required choice cannot be implemented within one (1) month of the buyer's claim, the buyer may return the good and have the price refunded, or keep the good and have part of the price refunded (Article L.217-10).

The seller must respect the consumer's choice unless that choice entails a cost that is manifestly disproportionate compared with the other option, taking into account the value of the good or the significance of the defect (Article L.217-9).

If repair and replacement of the good are impossible, the buyer may return the good and have the price refunded, or keep the good and have part of the price refunded (Article L.217-10).

The sale cannot be cancelled if the lack of conformity is minor (Article L.217-10).

The consumer exercises the guarantee without incurring any costs or paying any damages (Article L.217-11).

The consumer has two (2) years from delivery of the good to bring any action on the basis of this guarantee (Article L.217-12).

12.2 Guarantee against hidden defects (Articles 1641 to 1649 of the French Civil Code)

12.2.1 Scope of the guarantee

The seller guarantees the consumer against any defect that is:

Hidden, that is, not apparent at the time of purchase;

Existing at the time of purchase;

Such as to make the good that is the subject of the Contract unfit for its intended use, or to diminish that use so much that the consumer would not have purchased it, or would have paid a lower price for it, had they known of the said defect (Articles 1641 and 1642 of the French Civil Code).

12.2.2 Exercise of the guarantee by the consumer (buyer)

The consumer may choose to return the good and have the sale price refunded, or to keep the good and have part of the price refunded (Article 1644).

In addition to refunding the price, a seller who knew of the hidden defects of the good is liable to pay damages to the buyer (Article 1645).

Conversely, if the seller was unaware of the defects of the good, the seller is only required to refund the price of the good and the costs incurred by the sale (Article 1646).

If the defects affecting the good have caused its loss, the seller must bear the loss and is therefore required to refund the sale price to the buyer, together with the costs incurred by the sale and damages if the seller knew of the defects. Only loss arising from a fortuitous event must be borne by the buyer (Article 1647).

Finally, the consumer may bring an action on the basis of a hidden defect within a period (limitation period) of 2 years from discovery of the defect (Article 1648 of the French Civil Code) and within a period (foreclosure period) of 20 years from the sale of the good (Article 2232 of the French Civil Code).

12.4 Seller's addresses – Exercise of the guarantees

Seller: PROJECT RC LIMITED,

Postal address: 16 chemin des Croix, 77450 Condé-Sainte-Libiaire, France.

12.5 Combination of guarantees

Article L.217-13 of the French Consumer Code specifies that exercising the legal guarantee of conformity does not deprive the consumer (buyer) of the right to bring an action on the basis of the guarantee against hidden defects

Article 13: Refund procedure

When exercising your right of withdrawal or the legal guarantees, or if the Company agrees to refund you, please send the parcel to the Company's postal address, namely:
